Welcome to Toad Talk™! These Terms of Service ("Terms") govern your access to and use of the Toad Talk™ website, mobile applications, and AI-powered conversation practice services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

2. Description of Service

Toad Talk™ is an AI-powered platform designed to help users practice challenging conversations, including but not limited to:

• Job interviews and professional scenarios
• Salary and business negotiations
• Difficult personal conversations
• Public speaking and presentation practice
• Conflict resolution scenarios

Our AI conversation partners simulate realistic interactions with adjustable personalities and difficulty levels to help you build communication skills and confidence.

3. User Accounts

3.1 Anonymous Usage

You may use Toad Talk™ without creating an account, subject to a limit of 3 conversations per day.

3.2 Registered Accounts

To access premium features, you must create an account. When creating an account, you agree to:

• Provide accurate and complete information
• Maintain the security of your password (minimum 8 characters required)
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms or engage in prohibited conduct.

4. Subscription Plans and Payment

4.1 Free Tier

Free users receive 3 conversations per day with access to basic scenarios and personalities.

4.2 Premium Subscriptions

4.3 Billing

• Subscriptions are billed in advance on a recurring basis (monthly or yearly)
• Payment is processed securely through Stripe
• You authorize us to charge your payment method for recurring fees
• Prices are subject to change with 30 days notice

4.4 Cancellation

You may cancel your subscription at any time through your account dashboard. Upon cancellation:

• You retain access to premium features until the end of your current billing period
• No refunds are provided for partial billing periods
• Your account reverts to the free tier after the subscription ends

4.5 Refund Policy

We offer refunds on a case-by-case basis within 7 days of purchase. Contact us to request a refund.

5. Acceptable Use

You agree to use Toad Talk™ only for lawful purposes. You may NOT:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the AI to generate harmful, abusive, or inappropriate content
• Harass, abuse, or harm other users in the community chat
• Share, sell, or transfer your account to others
• Use automated systems or bots to access the Service
• Circumvent usage limits or security measures
• Reverse engineer or attempt to extract our AI models or algorithms
• Use the Service to develop competing products

6. Community Guidelines ("The Swamp")

Our premium community chat feature ("The Swamp") is subject to additional rules:

• Be respectful and supportive of other users
• No spam, advertising, or promotional content
• No sharing of personal information about yourself or others
• No discriminatory, hateful, or offensive content
• Keep conversations appropriate for a professional environment
• Report any violations to our moderation team

We reserve the right to remove content and ban users who violate these guidelines.

7. Intellectual Property

7.1 Our Rights

Toad Talk™, including its design, features, content, and AI technology, is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.

7.2 Your Content

You retain ownership of the content you create during conversations. By using the Service, you grant us a limited license to process your content for the purpose of providing the Service.

7.3 Feedback

If you provide feedback or suggestions, you grant us the right to use them without compensation or attribution.

8. Disclaimers

8.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not guarantee that the Service will be uninterrupted, error-free, or meet your specific requirements.

8.2 AI Limitations

8.3 No Professional Advice

Toad Talk™ is for practice and educational purposes only. We are not responsible for outcomes in your real-world conversations, interviews, or negotiations.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for any loss of data, profits, or opportunities
• We are not responsible for third-party services (Stripe, OpenAI, etc.)

10. Indemnification

You agree to indemnify and hold harmless Toad Talk™ and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit to the Service

11. Third-Party Services

Our Service integrates with third-party services:

• OpenAI: Powers our AI conversations (subject to OpenAI's terms)
• Stripe: Processes payments (subject to Stripe's terms)
• Supabase: Provides database services

Your use of these services is subject to their respective terms and privacy policies.

12. Modifications to Service and Terms

We reserve the right to:

• Modify or discontinue the Service at any time
• Update these Terms with notice to users
• Change pricing with 30 days advance notice

Continued use after changes constitutes acceptance of the new Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration, except for claims that may be brought in small claims court.

You agree to waive any right to a jury trial or to participate in a class action lawsuit.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
